These Terms of Service ("Terms") govern your access to and use of the DocuNile platform, including our document management system (DMS), qualified electronic signature service, AI-powered intelligence tools, and any associated APIs, desktop utilities (including the Scanner Bridge), and web applications (collectively, the "Service"), operated by DocuNile Inc. ("DocuNile", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the platform or other tenants.
You agree not to use the Service to:
DocuNile and its licensors retain all intellectual property rights in the Service, including all software, designs, algorithms, and AI models. Nothing in these Terms transfers any such rights to you.
You retain full ownership of all documents, data, and content you upload to the Service ("Customer Data"). By uploading Customer Data, you grant DocuNile a limited, non-exclusive, worldwide license to process and store that data solely for the purpose of providing the Service to you.
We do not use your Customer Data to train or fine-tune any AI models. Your documents and extracted data never leave your designated tenant boundary or the specified storage region.
The AI intelligence features (summaries, extractions, risk scoring, grounded chat) are provided as analytical tools to assist your team. They are not legal advice and should not be relied upon as a substitute for professional legal, financial, or compliance counsel.
AI-generated outputs may contain inaccuracies. You are solely responsible for verifying AI-generated content before acting on it. DocuNile is not liable for decisions made based on AI outputs.
AI credit consumption is metered per tenant. Credits are non-refundable once consumed.
DocuNile's e-signature service is designed to produce legally binding electronic signatures in accordance with applicable electronic signature laws, including eIDAS (EU Regulation 910/2014), the Electronic Signatures in Global and National Commerce Act (ESIGN, US), and the Uniform Electronic Transactions Act (UETA, US). However:
We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.3 encryption in transit, per-tenant cryptographic key isolation, and append-only audit logging. Our security posture is designed to meet SOC 2 Type II criteria.
In the event of a confirmed data breach affecting your Customer Data, we will notify you in accordance with applicable data breach notification laws and without undue delay.
Enterprise customers who deploy the Service on-premises or in air-gapped environments are subject to a separate On-Premises License Agreement. Key conditions include:
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in our refund policy or required by law. Overdue payments may result in service suspension after a 7-day grace period.
We reserve the right to modify pricing with 30 days written notice. Continued use of the Service after the effective date of a price change constitutes acceptance.
To the maximum extent permitted by applicable law, DocuNile's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amounts paid by you to DocuNile in the twelve (12) months preceding the claim.
In no event shall DocuNile be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of business opportunity.
The Service is provided "as is" and "as available" without any warranties of any kind, whether express, implied, statutory, or otherwise. DocuNile expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Either party may terminate these Terms at any time. Upon termination:
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
